1. DEFINITIONS

  • "Service": ReplaySense AI platform, website, and all related features
  • "Account": Your user account created to access the Service
  • "Content": Data, messages, credentials, and information you provide
  • "User Data": Your connected account credentials and conversation extracts
  • "Provider": David Tsoifn, the operator of ReplaySense AI

2. ELIGIBILITY & ACCOUNT CREATION

2.1 Eligibility Requirements

You must:

  • Be at least 18 years old
  • Have legal authority to enter into this agreement
  • Own or have authorization to connect the connected account Business Account you link to our Service
  • Comply with Meta's Terms of Service when using their platforms

2.2 Account Registration

You are responsible for:

  • Providing accurate, complete information
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your Account
  • Notifying us immediately of unauthorized access

3. ACCEPTABLE USE POLICY

You agree NOT to use the Service to:

  • Violate Laws: Engage in illegal activity or violate any laws, regulations, or rights
  • Abuse Platform APIs: Violate connected platform Terms of Service
  • Spam or Harassment: Send unsolicited messages, spam, or harass users
  • Phishing/Fraud: Deceive users about your identity or manipulate them
  • Automated Abuse: Use bots or automated tools to violate these Terms
  • Unauthorized Access: Attempt to access systems or accounts you don't own
  • Malware: Transmit viruses, malware, or harmful code
  • Intellectual Property: Infringe on copyrights, trademarks, or other IP rights
  • Privacy Violations: Collect or share others' personal data without consent
  • Reselling: Resell access to the Service without authorization

Violation Consequences:

Breach of this policy may result in Account suspension or termination without refund.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Our IP

All content, features, and functionality of the Service are owned by Provider, including:

  • Source code
  • Design and layout
  • Logos and trademarks
  • Documentation

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

4.2 Your IP

You retain ownership of:

  • Your Account data
  • Your connected account conversation content
  • Any content you input into the Service

By using the Service, you grant us a license to process and analyze your conversation data to generate AI responses and train our AI model to match your communication style.

Important: You remain responsible for any third-party IP infringement claims related to your Content.

5. SERVICE DESCRIPTION & LIMITATIONS

5.1 What We Provide

ReplaySense AI is an AI assistant tool that:

  • Analyzes your connected account conversations
  • Learns your communication style through semantic analysis
  • Generates automated responses to customer inquiries
  • Provides response suggestions for your review

5.2 Limitations

  • The Service is provided "AS IS" without warranties
  • AI responses may not be perfect and should be reviewed before sending
  • We do not guarantee inbox management, response accuracy, or sales results
  • You remain responsible for all responses sent from your account
  • Platform providers may change their API availability at any time

5.3 Your Responsibility

You agree to:

  • Review all AI-generated responses before sending
  • Ensure responses comply with connected account policies and laws
  • Not use the Service to spam or harass users
  • Maintain control of your account at all times

6. PAYMENT & BILLING

6.1 Pricing & Plans

  • Free Plan: Limited features, limited message responses
  • Growth Plan: $29/month
  • Enterprise Plan: $99/month

Pricing is in USD and subject to change with 30 days notice.

6.2 Billing & Payments

  • Payments are processed through Stripe
  • Billing occurs on the first day of each billing cycle
  • Failed payments may result in Service suspension
  • All fees are exclusive of taxes

6.3 Refund Policy

  • No refunds for partial months or cancelled plans
  • Refunds may be issued at Provider's discretion within 30 days of purchase for unusual circumstances

6.4 Plan Changes

  • You may upgrade or downgrade your plan at any time
  • Downgrades take effect at the next billing cycle

7. WARRANTY DISCLAIMER

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability
  • Fitness for a Particular Purpose
  • Non-infringement
  • Uninterrupted Service
  • Error-free Operation

We do not warrant that the Service will meet your requirements, be uninterrupted, or error-free.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PROVIDER SHALL NOT BE LIABLE FOR:

  • Indirect Damages (lost profits, lost revenue, lost data)
  • Consequential Damages (business interruption, reputational harm)
  • Incidental Damages (any damages not directly caused by breach)

Maximum Liability:

Provider's total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Provider from any claims, damages, or costs arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of any law or third-party rights
  • Your Content or User Data
  • Claims that your use violates connected account policies

10. DATA & PRIVACY

10.1 Data Handling

  • We collect and process data as described in our Privacy Policy
  • You authorize us to access and analyze your connected account data
  • You are responsible for obtaining necessary consents from your followers

10.2 Data Security

We implement reasonable security measures, but cannot guarantee absolute security.

10.3 Data Deletion

  • Your data is automatically deleted within 24 hours of Account disconnection
  • You can request manual deletion at any time by emailing support

11. THIRD-PARTY SERVICES

11.1 External Services

The Service relies on third-party services including Meta (connected account) API, OpenAI, DeepSeek, Stripe, and PostHog.

We are not responsible for:

  • Third-party outages or service changes
  • Suspension of API access
  • Changes to third-party terms or pricing

11.2 connected account API

By connecting your connected account account, you:

  • Authorize us to use Meta's API
  • Accept Meta's Terms of Service and Data Policy
  • Acknowledge that Meta may suspend API access

12. TERMINATION

12.1 Termination by You

You may terminate your Account at any time by deleting it from Settings or emailing support. All data will be deleted within 24 hours.

12.2 Termination by Provider

Provider may terminate or suspend your Account if:

  • You breach these Terms
  • You violate the Acceptable Use Policy
  • You engage in illegal activity
  • You violate connected account policies
  • Your Account is inactive for 6+ months

12.3 Effects of Termination

Upon termination:

  • Your Account access is revoked
  • All User Data is deleted within 24 hours
  • You remain liable for any damages caused during your use

13. MODIFICATIONS TO SERVICE

Provider may modify the Service at any time, including adding/removing features or changing pricing. Material changes will be announced via email at least 30 days in advance.

14. DISPUTES & GOVERNING LAW

14.1 Governing Law

These Terms are governed by the laws of Slovakia.

14.2 Dispute Resolution

Informal Resolution:

Before legal action, contact support@replaysenseai.com to attempt resolution.

Jurisdiction:

You agree to submit to the exclusive jurisdiction of courts in Slovakia.
